  • Patanjali will acquire a 73.6% stake, while DS Group will hold 24.5%.

  • The acquisition gives Patanjali an entry into the insurance sector through an existing insurer.
  • Magma General Insurance will continue operating as an established general insurance company.

IRDAI Clears Patanjali's Entry into Insurance

The Insurance Regulatory and Development Authority of India (IRDAI) has approved Patanjali Ayurved and DS Group to acquire Magma General Insurance, clearing the final regulatory hurdle for a deal reportedly valued at around ₹4,500 crore.

The approval enables Patanjali, co-founded by Baba Ramdev, to formally enter India's financial services sector by becoming the promoter of an existing insurance company rather than launching a new insurer.

Deal Structure

According to reports, the transaction involves:

  • Patanjali Ayurved acquiring a 73.6% stake in Magma General Insurance.
  • DS Group acquiring a 24.5% stake.
  • The shares being purchased from Sanoti Properties and other existing shareholders, including Celica Developers and Jaguar Advisory Services.

Sanoti Properties is backed by Adar Poonawalla.

Following the transaction, Patanjali is expected to become the promoter of the insurer while continuing to support its capital requirements.

Will Patanjali Launch Its Own Insurance Products?

Not immediately.

The regulatory approval does not mean Patanjali is launching a new company branded as "Patanjali Insurance."

Instead, it is acquiring control of Magma General Insurance, which already operates in India's general insurance market.

The company currently offers more than 70 insurance products, including:

  • Motor insurance
  • Health insurance
  • Property insurance
  • Commercial and other general insurance products

Customers holding existing Magma policies are not expected to see any immediate changes solely because of the ownership transition.

Magma General Insurance's Financial Performance

According to CareEdge Ratings, cited in reports:

  • Gross Direct Premium grew at a 22% CAGR between FY21 and FY25, compared with an industry CAGR of around 10%.
  • The company reported a net profit of ₹1 crore in FY25, compared with a ₹141 crore loss in FY24.
  • During the first nine months of FY26, net profit reportedly increased to ₹27 crore.
  • As of December 31, 2025, the insurer's solvency ratio stood at 1.81, above the regulatory requirement of 1.50.

These figures indicate an improvement in the insurer's financial position prior to the acquisition.

Rural Expansion Could Be a Key Focus

Industry observers expect Patanjali to leverage its extensive retail network to strengthen Magma General Insurance's presence beyond major cities.

Patanjali has:

  • Around 2 lakh retail outlets.
  • More than 250 Patanjali Mega Stores.
  • Distribution through national retail chains across India.

The existing network could help the insurer expand insurance distribution in rural and semi-urban markets, subject to applicable regulatory norms.

Why This Matters

The acquisition marks one of Patanjali's biggest diversification moves beyond its core FMCG business into financial services. Rather than building a new insurer from scratch, the company is entering the sector through an established player with an existing product portfolio, distribution infrastructure and regulatory approvals. The transaction also reflects growing interest among diversified Indian business groups in expanding into insurance and financial services.
